1. SCOPE OF SERVICES
1.1 The Service Provider shall perform the following services for the Client:
Professional services as discussed between the parties.
1.2 The Service Provider shall commence the services on [START DATE] and complete them on or before [END DATE].
2. FEES AND PAYMENT
2.1 In consideration for the services, the Client shall pay the Service Provider a project fee of R 0.00.

2.3 All payments are due within 7 days of the invoice date. Late payments may accrue interest at the maximum rate permitted by law.

3. INTELLECTUAL PROPERTY
3.1 Upon full payment of the fees, all work product created under this agreement shall be owned exclusively by the Client. The Service Provider hereby assigns all rights, title, and interest in such work product to the Client.
3.2 Notwithstanding the above, the Service Provider retains the right to display the work product in their professional portfolio and marketing materials.
4. CONFIDENTIALITY
4.1 Each party agrees to maintain the confidentiality of all proprietary or sensitive information disclosed by the other party during the term of this agreement.
4.2 This obligation shall survive the termination of this agreement for a period of 2 (two) years.
5. INDEPENDENT CONTRACTOR
5.1 The Service Provider is an independent contractor and nothing in this agreement creates an employer-employee relationship, partnership, or joint venture between the parties.

6. TERM AND TERMINATION
6.1 This agreement starts on the commencement date and continues until completed or terminated.
6.2 Either party may terminate this agreement for any reason by giving 30 days written notice to the other party.
6.3 Either party may terminate this agreement immediately if the other party fails to remedy a material breach within 7 days of written notice.
7. LIMITATION OF LIABILITY
To the maximum extent permitted by law, the Service Provider's total liability under this agreement shall be limited to the total fees paid by the Client to the Service Provider.
8. GOVERNING LAW
This agreement is governed by the laws of the Republic of South Africa.
